1. Introduction
These Terms & Conditions (“Terms”) govern your use of the Coplay services (“Service”), including the Coplay application, website, tools, and any associated software. Coplay provides an AI assistant for Unity game development designed to help users quickly build immersive worlds and streamline development tasks. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
2. Eligibility and Registration
To use the Service, you must be at least 13 years old (or older if required by applicable law) and capable of entering into a binding contract. When you create an account or access certain features, you agree to provide accurate and complete information and to keep your login credentials confidential.
3. Scope of Service
Coplay offers AI-powered tools for Unity developers, including features such as rapid prototyping, hierarchy and inspector manipulation, asset creation, UI design, code generation, and dynamic scene generation. The Service uses a variety of AI models and integrates with third-party platforms. Coplay is offered under various plans, including Free, Professional, and Enterprise tiers. Additional features or limitations may apply to different subscription plans.
4. User Content and License
You retain ownership of all code, assets, prompts, instructions, and other content you submit through the Service (“User Content”). You grant Coplay a worldwide, non-exclusive, royalty-free license to use, reproduce, store, display, and modify your User Content solely for the purpose of delivering and improving the Service. This license allows Coplay to process User Content to generate responses, assist with development tasks, and maintain system reliability.
4.1 Enterprise Users
For enterprise customers, Coplay treats all User Content as confidential. Coplay does not train, fine-tune, or adapt its AI models using enterprise customer data. Enterprise data is processed only to the extent required to deliver Coplay’s services and ensure system reliability. Information from one enterprise customer is never accessible by another.
4.2 Non-Enterprise Users
For non-enterprise users (including free trial or subscription users), Coplay may use prompts and data to improve the Service, such as enhancing the quality of responses and refining features. Coplay does not train or fine-tune its AI models using non-enterprise data. However, Coplay reserves the right to use such data for model improvement or training in the future, unless you explicitly opt out by emailing support@coplay.dev. By continuing to use the Service, you consent to this potential future use.
5. Data Retention and Security
5.1 Retention
Coplay retains customer data for a limited period. Enterprise customer data is retained for 30 days to support debugging and reliability monitoring, after which it is permanently deleted unless law or regulation requires longer retention. Non-enterprise data may be retained as long as necessary to support, improve, or expand the Service. You can request deletion of your data by contacting support@coplay.dev, but certain data may be retained as required by law.
5.2 Security Measures
Coplay employs industry-standard security controls across all components of its platform. All customer data is encrypted in transit (TLS 1.2+) and at rest using AES-256 or equivalent standards. Internal access to operational data is tightly controlled, role-based, and logged to ensure accountability. Coplay uses trusted service providers who maintain certifications such as SOC 2, ISO/IEC 27001, PCI DSS, HIPAA, and FedRAMP.
6. Acceptable Use
You agree not to (a) violate any applicable laws or regulations; (b) reverse-engineer, decompile, or attempt to extract source code or copy or replicate the Service, or use it to build a competing product or service; (c) interfere with or disrupt the Service; (d) use the Service to infringe upon the intellectual property rights of others; (e) submit malicious code or harmful content; or (f) misrepresent your identity or affiliation. Coplay may suspend or terminate your access if you engage in prohibited activities or violate these Terms.
7. Anti-Competition Penalties and Indemnification
If Coplay reasonably determines that you (or your employer, parent company, affiliate, or agent) are attempting to copy, replicate, reverse-engineer, or build a competing product or service based on Coplay’s technology, Coplay reserves the right, at its sole discretion, to impose remedies including but not limited to:
- Immediate suspension or termination of your account and access to the Service.
- Removal or forfeiture of any credits, tokens, or subscription benefits without refund.
- Imposition of higher fees or liquidated damages to account for misuse.
- Initiating legal action, including seeking damages and injunctive relief.
You further agree to indemnify, defend, and hold harmless Coplay and its affiliates, directors, officers, and employees from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to such prohibited competitive activities. This includes, without limitation, all costs of enforcement, damages, settlements, and any other remedies available under law or equity.
These remedies are cumulative and in addition to any other rights or remedies Coplay may have.
8. Payment and Billing
If you purchase a subscription, you agree to pay all fees in accordance with the pricing and billing terms in effect at the time. Coplay may modify fees or introduce new charges upon notice. Fees are non-refundable except where required by law. Taxes may apply depending on your jurisdiction.
9. Termination
You may stop using the Service at any time. Coplay may suspend or terminate your access, including the deletion of your User Content, if you violate these Terms or if we reasonably believe your continued use may harm the Service or other users. Sections regarding license, liability, and indemnity will survive termination.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind. Coplay does not guarantee that the Service will be uninterrupted, error-free, or secure. Coplay disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Coplay will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if Coplay has been advised of the possibility of such damages. Coplay’s total liability for any claims arising from the Service will not exceed the amount you paid (if any) in the six months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Coplay and its affiliates, directors, officers, and employees from any claims, damages, losses, liabilities, or expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
13. Modifications to the Terms
Coplay may update these Terms at any time. If we make material changes, we will provide notice (e.g., via email or within the Service) and allow you an opportunity to review the updated Terms. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any disputes arising from the Service will be resolved exclusively in the state or federal courts located in San Francisco County, California. You consent to personal jurisdiction and venue in those courts.
